End-User License Agreement

Subject to your compliance with this EULA and your active subscription, HaulStratus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business operations during your subscription term. This license does not grant you any title or ownership in the Software, only a right of use under the terms set forth here.

You agree that you will not, and will not permit any third party to:

• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
• rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your access to it;
• use the Software for any illegal or unauthorized purpose, or in violation of any applicable law;
• disrupt, interfere with, or attempt to disrupt the operation of the Software, its servers, or networks;
• gain or attempt to gain unauthorized access to the Software, other users’ data, or any HaulStratus systems.

You retain all rights, title, and interest in and to the data you submit to the Software through your account (“User Data”). You are responsible for the accuracy and lawfulness of your User Data. HaulStratus may access, use, and process your User Data solely as necessary to provide, maintain, secure, and improve the Software and the services offered through it.

Our handling of personal information is described in our Privacy Policy, which is incorporated into this EULA by reference. By using the Software you consent to the data practices described in the Privacy Policy.

A paid subscription is required to access the Software. Subscription fees are billed in advance on a recurring basis according to the plan and billing cycle you select. All fees are non-refundable except as required by applicable law. You are responsible for all charges until your subscription is properly cancelled in accordance with the Software’s account settings.

This EULA is effective upon your first use of the Software and continues until terminated. You may cancel your subscription at any time. HaulStratus may suspend or terminate your access to the Software for breach of this EULA, non-payment of fees, or to protect the security or integrity of the Software. Upon termination, all rights granted to you cease. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — shall continue in effect.

The Software is provided to you “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory. HaulStratus disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. HaulStratus does not warrant that the Software will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, in no event will HaulStratus be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to this EULA or the Software. HaulStratus’s total aggregate liability for any claim arising under this EULA is capped at the total fees you paid to HaulStratus in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless HaulStratus and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Software, your violation of this EULA, or your violation of any law or third-party rights.

HaulStratus may modify this EULA from time to time. We will post the updated terms within the Software. Your continued use of the Software after any change takes effect constitutes your acceptance of the revised EULA. If you do not agree to the changes, you must stop using the Software.

This EULA is governed by and construed in accordance with the laws of the United States and the laws of the state of HaulStratus’s incorporation, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts located in that state for any dispute arising under this EULA.
